FioNova Terms of Service

1. ELIGIBILITY

You must be at least 18 years old to use FioNova.

By using the Service, you represent that you are at least 18 and legally capable of entering into these Terms.

FioNova may suspend or terminate accounts that do not satisfy these requirements.

2. WHAT FIONOVA IS

FioNova is an AI-assisted personal wellness, self-reflection, and personal-growth platform.

The Service includes features designed to help users explore thoughts, emotions, goals, habits, experiences, personal direction, and related areas.

Features may include Ellie and experiences such as The Unsaid, Emotional X-Ray, Daily Battle Plan, Future Self Engine, Purpose Engine, Companion Memory, journaling, progress tools, and other current or future features.

3. WHAT FIONOVA IS NOT

FioNova is not therapy, counseling, medical care, psychiatric care, psychological treatment, diagnosis, or crisis care.

FioNova does not diagnose, treat, cure, or prevent mental-health or medical conditions.

FioNova does not establish a therapist-patient, doctor-patient, counselor-client, or other licensed professional relationship.

AI-generated responses, reflections, suggestions, recommendations, plans, or other content should not be treated as professional medical, psychological, psychiatric, legal, financial, or other professional advice.

Nothing provided through FioNova should cause you to disregard or delay seeking advice from an appropriately qualified professional.

4. EMERGENCIES AND CRISIS SITUATIONS

FioNova is not an emergency service, crisis-response service, or emergency monitoring system.

FioNova and Ellie should not be relied upon to identify, monitor, prevent, report, or respond to an emergency.

If you believe you or another person is in immediate danger, contact emergency services.

In the United States, call 911 for emergencies.

If you are experiencing suicidal thoughts or a mental-health crisis, call or text 988 to reach the Suicide & Crisis Lifeline.

Users outside the United States should contact their appropriate local emergency or crisis service.

5. ARTIFICIAL INTELLIGENCE AND ELLIE

Some FioNova features use artificial intelligence.

You understand that AI systems can produce outputs that are:

• Incorrect
• Incomplete
• Outdated
• Inconsistent
• Unexpected
• Inappropriate for your circumstances

FioNova does not guarantee the accuracy or suitability of AI-generated content.

You remain responsible for evaluating information provided through the Service and for decisions or actions you take based on that information.

FioNova's AI features are designed to support reflection and personal growth, not replace human judgment or professional care.

6. COMPANION MEMORY AND PERSONALIZATION

FioNova may maintain information from your previous interactions in order to personalize future experiences and provide continuity between sessions.

This may include summaries, preferences, goals, reflections, progress, or other information associated with your account.

Companion Memory is intended to reduce the need to repeatedly provide the same background information.

You remain responsible for deciding what information you provide to FioNova.

7. ACCOUNTS

Certain features require an account.

You agree to provide accurate information and maintain the security of your account credentials.

You are responsible for activity occurring through your account except to the extent prohibited by applicable law.

You should notify FioNova promptly if you believe your account has been compromised.

You may not sell, transfer, or provide unauthorized access to your account.

8. FREE EXPERIENCE

FioNova may allow users to experience portions of the Service without purchasing a subscription.

Currently, users may begin and complete FioNova's personalized onboarding experience without providing a credit card.

Availability or scope of free features may change in the future.

9. PAID SUBSCRIPTIONS

Access to certain FioNova features requires a paid subscription.

Unless otherwise stated at the time of purchase, subscriptions automatically renew on a recurring basis until canceled.

By purchasing a subscription, you authorize FioNova and its payment processor to charge the applicable subscription price and any applicable taxes at each renewal.

Pricing and billing terms displayed during checkout form part of your purchase agreement.

10. FOUNDERS PRICING

Eligible early FioNova subscribers may be offered a Founders Price of $9.99 per month.

Where the Founders offer states that the price remains available while your subscription remains active, your $9.99 monthly Founders price will remain associated with that continuously active subscription, subject to these Terms and applicable law.

If you cancel the subscription and later return to FioNova, the Founders Price may no longer be available.

The availability, quantity, or eligibility requirements for new Founders subscriptions may be limited or discontinued.

Any higher regular or comparison price displayed in marketing materials does not constitute a charge unless you separately agree to that price through an applicable checkout or subscription transaction.

11. AUTOMATIC RENEWAL AND CANCELLATION

Subscriptions renew automatically unless canceled.

You may cancel your subscription through the subscription-management functionality made available by FioNova or its payment processor.

Cancellation prevents future renewal charges but ordinarily does not immediately terminate access already paid for. Unless otherwise stated, you may continue using paid features through the end of the applicable paid billing period.

Canceling your subscription does not automatically delete your FioNova account, Companion Memory, or account history.

Account deletion is a separate action governed by our Privacy Policy.

12. 30-DAY MONEY-BACK GUARANTEE

FioNova offers a 30-day money-back guarantee for eligible initial subscription purchases.

If you purchase FioNova and decide it is not right for you, you may request a refund within 30 days of the eligible purchase by emailing:

Please send the request from the email address associated with your FioNova account whenever possible.

Please allow 24–48 hours for FioNova to respond to your refund request.

Once a refund has been processed, additional time may be required for the funds to appear in your account depending on your bank, card issuer, or payment provider.

Refund requests may be subject to reasonable verification and measures intended to prevent fraud or abuse.

Unless expressly stated otherwise, the guarantee applies to the qualifying purchase for which the refund is requested and does not create an unlimited right to refunds for repeated subscriptions, renewals, or abuse of the guarantee.

Nothing in these Terms limits refund rights that cannot legally be waived.

If you are willing, we also welcome feedback about why FioNova was not right for you or what you believe could be improved.

Providing feedback is completely optional and is not required to receive an eligible refund.

13. PAYMENT PROCESSING

Payments may be processed by third-party payment providers such as Stripe.

Your use of payment services may also be subject to the payment provider's terms and privacy practices.

FioNova does not guarantee that every payment method will always be available.

14. USER CONTENT

“User Content” means information or content you submit through FioNova, including journal entries, prompts, responses, reflections, goals, and conversations.

You retain ownership of your User Content.

You grant FioNova a limited, non-exclusive right to host, store, reproduce, process, transmit, and otherwise use User Content as reasonably necessary to operate, secure, maintain, personalize, and provide the Service to you and to perform the activities described in our Privacy Policy.

This permission does not transfer ownership of your User Content to FioNova.

You represent that you have the right to provide the content you submit and that your use of FioNova will not violate applicable law or another person's rights.

15. ACCEPTABLE USE

You may not misuse FioNova.

Among other things, you agree not to:

• Use the Service for unlawful purposes
• Attempt to gain unauthorized access to FioNova or another user's account
• Circumvent security or access controls
• Introduce malware or malicious code
• Disrupt or overload the Service
• Scrape or extract data through unauthorized automated methods
• Reverse engineer protected portions of the Service except where applicable law expressly permits it
• Use FioNova to infringe another person's rights
• Impersonate another person
• Commit fraud
• Abuse payment or refund systems
• Attempt to use the Service in ways that threaten the security or integrity of FioNova or its users

We may take reasonable action to protect the Service and enforce these Terms.

16. FIONOVA INTELLECTUAL PROPERTY

Except for User Content and third-party materials, FioNova and its associated software, branding, designs, interfaces, features, text, graphics, systems, trademarks, and other intellectual property belong to FioNova LLC or its licensors.

These Terms provide you with a limited, personal, non-exclusive, non-transferable, revocable right to use the Service for its intended purposes.

They do not transfer ownership of FioNova intellectual property to you.

17. FEEDBACK

If you voluntarily provide ideas, suggestions, or feedback about FioNova, you permit us to use that feedback to improve, develop, or operate FioNova without an obligation to compensate you.

This does not give FioNova ownership of your private journal entries, conversations, or other User Content merely because they are entered into the Service.

18. SERVICE AVAILABILITY AND CHANGES

We work to keep FioNova available and functional, but we do not guarantee uninterrupted or error-free operation.

The Service may occasionally be unavailable due to:

• Maintenance
• Updates
• Technical failures
• Internet or hosting outages
• Third-party provider failures
• Security events
• Events outside our reasonable control

We may add, modify, discontinue, or replace features as FioNova develops.

Where a material change affects an active paid subscription, we will handle the change consistent with applicable law.

19. THIRD-PARTY SERVICES AND LINKS

FioNova may integrate with or link to third-party services, websites, books, resources, payment providers, or other content.

FioNova does not control third-party services and is not responsible for their independent content, availability, security, terms, or privacy practices.

Your interaction with a third party is governed by that third party's applicable terms and policies.

20. SUSPENSION AND TERMINATION

We may suspend or terminate access when reasonably necessary because of:

• Material violations of these Terms
• Fraud or payment abuse
• Security threats
• Illegal activity
• Attempts to harm the Service or other users
• Legal requirements

Where appropriate and reasonably possible, we may provide notice.

You may stop using FioNova at any time.

Cancellation of a subscription and deletion of an account are separate processes.

21. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FIONOVA IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

FIONOVA DOES NOT WARRANT THAT THE SERVICE WILL ALWAYS BE AVAILABLE, ERROR-FREE, COMPLETELY SECURE, OR THAT AI-GENERATED OUTPUTS WILL BE ACCURATE, COMPLETE, OR APPROPRIATE FOR YOUR PARTICULAR CIRCUMSTANCES.

FIONOVA DOES NOT GUARANTEE ANY PARTICULAR PERSONAL, WELLNESS, RELATIONSHIP, CAREER, FINANCIAL, HEALTH, OR OTHER OUTCOME FROM USING THE SERVICE.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS, SO SOME OF THESE DISCLAIMERS MAY NOT APPLY TO YOU.

22. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FIONOVA LLC AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FIONOVA'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

(A) THE AMOUNT YOU PAID TO FIONOVA DURING THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR

(B) $100.

These limitations do not apply where liability cannot lawfully be limited or excluded.

23. INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify and hold harmless FioNova LLC and its officers, owners, employees, contractors, and agents from third-party claims, liabilities, damages, or reasonable expenses arising from your unlawful misuse of the Service, violation of these Terms, or violation of another person's rights.

This provision does not require you to indemnify FioNova for conduct for which indemnification cannot legally be required.

24. GOVERNING LAW

These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law principles, except where applicable consumer law requires otherwise.

Nothing in these Terms deprives you of rights that cannot legally be waived under the laws applicable to you.

25. DISPUTES

Before initiating formal legal proceedings, you and FioNova are encouraged to attempt to resolve disputes informally.

Either party may pursue remedies available under applicable law if an informal resolution cannot be reached.

These Terms do not currently impose mandatory arbitration or a class-action waiver.

26. CHANGES TO THESE TERMS

We may update these Terms as FioNova evolves.

If we make material changes, we may provide notice through the Service, email, or another reasonable method.

Changes will become effective as stated in the updated Terms and subject to applicable law.

27. SEVERABILITY

If any provision of these Terms is determined to be unenforceable, the remaining provisions will continue in effect to the extent permitted by law.

28. NO WAIVER

Failure by FioNova to enforce a provision of these Terms does not waive our right to enforce that provision later.

29. ENTIRE AGREEMENT

These Terms, together with the Privacy Policy and any additional terms presented to you in connection with a particular purchase or feature, constitute the agreement between you and FioNova regarding the Service.
